Is a verbal agreement valid in Cyprus? What courts consider legally binding

Updated: February 19, 2026

Verbal agreements are common in both business dealings and everyday transactions. But can they actually be enforced under Cypriot law?

The short answer is yes. A verbal agreement can be legally valid and binding in Cyprus, provided that specific legal requirements are satisfied. However, the absence of written evidence may significantly complicate enforcement. Understanding how courts assess oral agreements is essential before relying on one.

What makes a verbal agreement legally binding?

Under Cyprus contract law, a contract does not need to be in writing to be valid. Whether written or oral, an agreement must meet certain legal criteria:

  • Offer and acceptance – One party must clearly make an offer, and the other must unequivocally accept it.

  • Intention to create legal relations – Both parties must intend their agreement to have legal consequences.

  • Consideration – There must be something of value exchanged between the parties (such as goods, services, or payment).

  • Capacity – The parties must be legally capable of entering into a contract.

  • Legality – The subject matter of the agreement must be lawful.

If these elements are present, the lack of a written document does not automatically invalidate the agreement.

How do Cyprus courts assess verbal agreements?

When a dispute arises, the court must determine two key issues:

  1. Whether a contract existed.

  2. What the terms of that contract were.

Since there is no written agreement to examine, the court evaluates available evidence, including:

  • Witness testimony

  • Email correspondence

  • Text messages or WhatsApp exchanges

  • Payment receipts or bank transfers

  • The conduct of the parties

  • Previous course of dealing between them

Courts often look at whether the parties acted consistently with the existence of an agreement. Behaviour that reflects mutual understanding and performance of obligations can strongly support the claim that a binding contract was formed.

However, the burden of proof lies with the party seeking enforcement, which can make oral agreements more challenging to defend in court.

When does Cyprus law require a written agreement?

Although verbal contracts are generally recognised, certain types of agreements must be in writing to be legally enforceable. These typically include:

  • Real estate transactions

  • Transfer of shares in a company

  • Certain employment agreements or specific employment terms

  • Loan agreements exceeding a statutory threshold

  • Long-term lease agreements

Failure to formalise such arrangements in writing may render them unenforceable, regardless of the parties’ intentions.

Common disputes involving verbal agreements

Cyprus courts frequently encounter disputes arising from oral arrangements, including:

  • Business agreements between partners

  • Informal personal loans

  • Verbal employment arrangements

  • Agreements for services (such as construction, renovations, or delivery of goods)

While such agreements may be legally valid, proving their exact terms often becomes the central difficulty.

Practical guidance for businesses and individuals

If you rely on verbal agreements, it is prudent to create a written record of discussions and commitments, even informally. Confirmations via email, messaging applications, or written summaries of agreed terms can significantly strengthen your legal position.

For high-value transactions, complex arrangements, or long-term obligations, formal written contracts prepared or reviewed by a legal professional offer far greater protection.
